The theme of the 2012 Yale Governance Forum—“Governance Without Borders”—addresses the profound consequences of the internationalization of capital market practices. More corporate boards have to adapt to the opportunities and pressures of non-resident shareowners. Institutional investors are engaging company directors around the world, sometimes guided by new international standards and collaborations. Governance codes for companies and investors are proliferating and morphing in response to cross-border trends. Regulations and laws on disclosure, board composition, risk oversight and auditing are evolving in tandem across frontiers. The Forum will feature speakers from Asia, the Americas, Europe and the Middle East to spotlight latest learning, trends and ideas.
